By-laws of the Big Bay 550 Snowmobile Club

ARTICLE I

Name

The name of the Organization shall be the Big Bay 550 Snowmobile Club.

ARTICLE II

Objectives and Purposes

The objective and purposes of the club shall be as follows: To unite snowmobilers for mutual well being, protection and consideration of others. To work for the establishment and maintenance of good and safe ridding conditions. To promote and maintain good will between members of our club as will as members of other snowmobile and non-snowmobile organizations of our community and promote common good.

ARTICLE III

Finance

The methods of finance shall be through annual membership dues to be determined by the Executive Board. Additional financing shall be through fund raising that the Executive Board approves and is permissible by Federal, State and Local laws. The club shall have a financial review committee of three members appointed by the membership for the purpose of reviewing the club books and records once a year in April. No officer shall be a member of this committee.

ARTICLE IV

Officers

Section 1 Officers
The officers of the club shall be the President, Vice President, Secretary and a Treasurer (These officers shall constitute the Executive Committee) These officers and one Director shall constitute the Executive Board. The Executive Board shall have the authority to handle matters that necessitates their immediate attention between regular monthly club meetings. A report on all actions taken by the Executive Board shall be made to the membership at the next scheduled meeting. Payment of bills incurred by this club shall be approved by the club membership except that in emergencies the Executive Board shall be authorized to approve spending of dub funds. Such payments shall be reported to the membership at the next scheduled meeting.

Section 2- Eligibility for Office

No club member shall be eligible for office unless he/she has been a member in good standing for at least one year immediately preceding his/her election, and must continue in good standing to remain in office.

Section 3 Nominations

Nomination of officer shall be made from the floor of the meeting immediately proceeding the election date, and a list of nominees sent by mail to all club members. Nominees must approve their nomination.

Section 4 Elections and Installation

Officers shall be elected annually in April) Elections shall be held annually In April. Members not able to be present shall be permitted to mail their vote to the club secretary. All (votes) Ballots must be received (prior) ~by the election date. Officers shall hold office for a term of two (2) yen, President and Secretary shall be elected In even numbered yea, Vice-President and Treasurer shall be elected in odd numbered yea, All members In good standing as of the March meeting will be eligible to vote for club officers. Officers shall be installed at the close of the April meeting.

Section 5 Removal from office

Any officer whose leadership and actions are not such as to inspire confidence, keep members active, and benefit the members and the club, can be removed form their office by a majority vote of the members at any monthly club meeting. Unexcused absence of an officer from two consecutive meetings shall automatically vacate his or her office. Any absence by an officer shall be considered unexcused unless the Secretary has been notified of the absence in advance of the meeting, -

Section 6 Filling vacancies

Vacancies in office, except for the president, will be filled by a vote of the members at the meeting immediately following the occurrence of the vacancy. The vacancy shall be filled for the remainder of the unexpired term. The Vice-President shall fill the office of President.

 

ARTICLE V

Membership

Any person regardless of race, religion or creed may become a member of this club.


ARTICLE VI

Committees

The President may appoint any committee that he/she deems

Necessary for the welfare and or betterment of the club.
ARTICLE VII

Provisions to Dissolve

When the total membership of the club becomes less than ten (10) the club shall be abolished, discontinued or dissolved by the action of its members.


ARTICLE VIII

Amendments

Proposed amendments to the by-laws shall be submitted in writing to the full membership for approval. A two-thirds majority of the votes returned shall be necessary for the adoption.
